1. Introduction

MasOS (the "Platform") is an all-in-one carnival band management and operations platform operated by Caribbean Inc., a company based in New Castle, Delaware, USA. These Terms and Conditions (these "Terms") govern your access to and use of the MasOS Platform and form a binding legal agreement between you and Caribbean Inc. (referred to as "MasOS," "we," "us," or "our"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. Effective Date: April 16, 2025. If you do not agree with any part of these Terms, you must not use the Platform.

MasOS enables two types of users to interact on the Platform: (1) Band Organizers – carnival band organizers who use MasOS to manage their bands and sell products or services; and (2) Masqueraders (Customers) – individuals who register with bands or purchase products through the Platform. These Terms apply to all users of MasOS, including both Band Organizers and Masqueraders, except where we distinguish between them within specific provisions. Please also review our Privacy Policy (available on our website), which explains how we collect and use your information. By using MasOS, you confirm that you accept these Terms and our Privacy Policy.

2. Eligibility and User Accounts

To register for and use the Platform, you must meet the following eligibility criteria:

• Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use MasOS. The Platform is not intended for individuals under 18, and you must not use MasOS if you are under 18.
• Authority (for Organizations): If you are registering or using the Platform on behalf of a company, band, or other organization (e.g. as a Band Organizer), you represent and warrant that you have the legal authority to bind that entity to these Terms. In such cases, "you" and "your" will also refer to the organization.
• Accurate Information: You agree to provide true, current, and complete information about yourself (and your band, if applicable) when registering an account. You must keep your account information updated. You may not impersonate anyone or misrepresent your identity or affiliation.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your account with others. If you suspect any unauthorized use of your account or a security breach, you must notify MasOS immediately.

We reserve the right to suspend or terminate any account that does not meet these requirements or that otherwise violates these Terms (see Termination below). You are responsible for all usage of the Platform through your account, whether or not authorized by you, until you properly close the account or notify us of unauthorized access.

3. Platform Access and Demo

MasOS provides an online software platform that can be accessed via our website (and any authorized apps or interfaces we may provide). Subject to your compliance with these Terms, MasOS grants you a limited, revocable permission to access and use the Platform for its intended purposes.

We understand that Band Organizers may wish to explore the Platform before fully committing. MasOS offers a free walkthrough/demo of the Platform by appointment with our team. This demo is an opportunity for you to experience the features and capabilities of MasOS with guidance from us. To request a demonstration, please contact the MasOS team through our website or via the contact information provided below. Demo access is for evaluation purposes only and remains subject to these Terms and any additional guidelines provided during the demo. Participating in a demo does not obligate you to purchase or subscribe, and likewise, it does not create any contractual relationship beyond these Terms.

Please note that while we strive to make the Platform available at all times, we may occasionally need to restrict or suspend access to perform maintenance, updates, or address technical issues. We will attempt to schedule downtime to minimize disruption, but we are not liable for any unavailability of the Platform (see Disclaimers below for more detail).

4. Fees and Payments

Band Organizers: If you are a Band Organizer using MasOS to sell products or services (for example, carnival costumes, merchandise, or event registrations), you agree to pay any applicable fees charged by MasOS for the use of our Platform. MasOS may charge fees for certain features or services, such as subscription fees for platform access, transaction processing fees, or commissions on sales made through the Platform. We will inform you of the specific fees that apply to you (for example, during account registration, in a separate services agreement, or in the Platform's dashboard or documentation). By selling products or otherwise engaging in commercial activity on the Platform, you authorize MasOS (or our designated payment processor) to charge the payment method you provide for all applicable fees and any applicable taxes. Except as required by law, all fees paid to MasOS are non-refundable.

MasOS reserves the right to change its fees or introduce new fees in the future. If we do so, we will provide prior notice to Band Organizers. For example, we may send an email to the address on your account or post a notice on the Platform informing you of the fee change. Fee changes will not apply retroactively; they will become effective after the notice period (as specified in the notice, or if not specified, a reasonable period of time after we provide notice). Your continued use of the Platform or continued sales via MasOS after the new fees take effect constitutes your agreement to the changed fees. If you do not agree to a fee change, you may need to stop using the fee-based features or terminate your account before the new fees apply.

Masqueraders (Customers): MasOS does not charge Masqueraders a fee to create an account or to browse and interact with Band Organizers on the Platform. If you are a Masquerader purchasing a product or registering for a band through MasOS, you will be required to pay the price (or fee) set by the Band Organizer for that product or registration. Such payments from Masqueraders are processed via the Platform’s integrated third-party payment processors on behalf of the Band Organizer. MasOS itself is not the seller of these products or services and does not charge you additional fees beyond the purchase price set by the Band Organizer (however, taxes or bank fees may apply to your transaction as determined by the Band Organizer or payment provider). Any financial transaction you enter into as a Masquerader is between you and the Band Organizer, although it may be facilitated through our Platform.

You are responsible for paying all fees and applicable taxes associated with your use of the Platform and any purchases or sales you make through MasOS in a timely manner. If we are unable to collect fees owed by a Band Organizer (for example, due to an expired credit card or insufficient funds), we may suspend that Band Organizer’s access to the Platform or to certain features until the account is brought current.

5. Acceptable Use Policy

When using MasOS, you agree to use the Platform in a lawful and respectful manner. You must not misuse the Platform or use it in a way that could harm MasOS or any other user. Specifically, you agree that you will NOT do any of the following:

• Illegal or Fraudulent Activity: Use the Platform for any unlawful purpose or in violation of any applicable law or regulation. This includes, but is not limited to, engaging in fraud, money laundering, gambling, or any activity that would constitute a criminal offense or give rise to civil liability.
• Prohibited Content: Post, upload, or transmit any content that is illegal, fraudulent, threatening, harassing, defamatory, libelous, hateful, obscene, or otherwise objectionable. You also agree not to upload or share content that violates any third party’s rights, including intellectual property rights (copyrights, trademarks, etc.) or privacy/publicity rights.
• Intellectual Property Infringement: Use the Platform to store, display, or distribute content or materials that you do not have the legal right to use. You must not infringe or misappropriate the intellectual property rights of others. If you are a Band Organizer, ensure you have rights to all images, music, names, and other content you use on your band page or products.
• Unauthorized Access and Security Violations: Attempt to gain unauthorized access to the Platform or any account, computer system, or network associated with MasOS. You must not interfere with or disrupt the security, integrity, or performance of the Platform or bypass any measures we use to prevent or restrict access to the Platform. This includes not introducing any viruses, worms, malware, or any other harmful code.
• Scraping and Automated Use: Use any robot, spider, scraper, crawler, or other automated means or processes to access, collect data from, or otherwise interact with the Platform for any purpose without our express written permission. Likewise, you may not frame or mirror any part of the Platform or otherwise incorporate portions of the Platform into any other website or service without authorization.
• No Spam or Exploitation: Use the Platform to transmit any unsolicited or unauthorized advertising or promotional content (such as junk mail, spam, chain letters, or pyramid schemes). You also agree not to exploit the Platform for commercial purposes not expressly permitted by MasOS, and you will not resell or commercially redistribute the Platform or any part of it without our permission.
• Impersonation and Misrepresentation: Misrepresent your identity or affiliation in any way. You must not impersonate any person or entity (including other users, MasOS staff, or any band not actually associated with you) or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.
• Reverse Engineering and Copying: Attempt to reverse engineer, decompile, disassemble, or decipher the Platform’s software or source code. You may not copy, modify, or create derivative works of the Platform or any content on it (except your own content) without prior written authorization from us.
• Abuse and Interference: Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm MasOS or users of the Platform or expose them to liability. This includes stalking, harassing, or threatening other users, or inciting others to do so.

This Acceptable Use Policy is not intended to be exhaustive. If you engage in any behavior that MasOS deems abusive, harmful, or otherwise unacceptable, we reserve the right to take appropriate action, which may include removing content, warning you, suspending or terminating your account, and/or involving law enforcement authorities if necessary.

6. Intellectual Property

Ownership of the Platform: All rights, title, and interest in and to the MasOS Platform, including all software, code, databases, tools, text, graphics, images, logos, designs, trademarks, service marks, brand elements, and other content or materials provided by MasOS (collectively, the "MasOS Content"), are and will remain the exclusive property of Caribbean Inc. and its licensors. The Platform and MasOS Content are protected by United States and international copyright, trademark, patent, and other intellectual property laws. Caribbean Inc. (and its affiliates) own all rights in the MasOS name, logo, and branding. You do not acquire any ownership rights in the Platform or any MasOS Content by using the service or by copying or downloading materials from the Platform.

Limited License to Users: Subject to your compliance with these Terms, MasOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and MasOS Content for your personal use (if you are a Masquerader) or for your legitimate internal business purposes (if you are a Band Organizer), in each case solely as intended through the provided functionality of the Platform. You agree not to: (a) copy, reproduce, distribute, publish, display, perform, or create derivative works of the Platform or any MasOS Content (except for your own User Content, defined below) without our prior written permission; (b) sell, resell, or commercially exploit any portion of the Platform, access to the Platform, or MasOS Content without authorization; or (c) reverse engineer, decompile, or attempt to extract the source code of the Platform, except to the limited extent that applicable law expressly permits despite this limitation (in which case, you must first notify us).

User Content: MasOS may allow Band Organizers and Masqueraders to submit or upload content to the Platform (for example, band descriptions, product listings, images, and other materials, or profile information) ("User Content"). You retain any ownership rights that you hold in the User Content you create or provide. However, by submitting or posting User Content on the Platform, you grant Caribbean Inc. a worldwide, royalty-free, sublicensable, transferable, and non-exclusive license to use, reproduce, adapt, modify, translate, publish, publicly perform, publicly display, and distribute your User Content, but only for the purposes of operating, improving, or promoting the Platform or our services, and to display your content to other users as you direct (for example, showing your band’s costume images to Masqueraders who might purchase them). This license ends when you remove or delete your User Content from the Platform, except to the extent that we have relied on it previously or it has been shared with others who have not deleted it, or when retention is required for legal reasons (we will in good faith try to remove content at your request). You represent and warrant that you have all necessary rights to submit any User Content and that your User Content does not violate the Acceptable Use Policy or any law. MasOS is not responsible for any User Content, and we reserve the right to remove or disable any User Content that we believe violates these Terms or is otherwise harmful, even though we have no obligation to pre-screen or monitor user submissions.

Trademarks and Branding: MasOS and Caribbean Inc. names and logos, and any other MasOS product or service names, logos, or slogans that may appear on the Platform are trademarks or registered trademarks of Caribbean Inc. (and/or its affiliates or licensors). You must not use any of these trademarks, trade dress, or logos without our prior written permission. All other trademarks on the Platform are the property of their respective owners and may not be used without permission of the owner.

Feedback: If you choose to provide suggestions, ideas, or other feedback to MasOS about the Platform or our services ("Feedback"), you agree that Caribbean Inc. is free to use and implement that Feedback in any manner, without any obligation to you. Any Feedback you provide is entirely voluntary, and you grant us a perpetual, irrevocable, sublicensable, transferable, royalty-free license to use the Feedback for any purpose.

7. Termination

By MasOS: We reserve the right to suspend or terminate your account or access to the Platform at any time, with or without notice, if we determine that you have violated these Terms, violated any applicable law, misused the Platform, or engaged in behavior that we deem harmful or inappropriate. We may also suspend or terminate the account of any user (Band Organizer or Masquerader) for prolonged inactivity or if required to do so for legal or security reasons. In certain cases, such as serious violations, we may disable your access immediately and without prior warning. Caribbean Inc. will not be liable to you or any third party for the termination of your account or access to the Platform under this provision.

By You: You are free to stop using MasOS at any time. If you wish to terminate your agreement with us, you may do so by deleting your user account (if that functionality is available to you in the Platform settings) or by contacting us at our provided contact email to request account deletion. If you are a Band Organizer and wish to cease using the Platform, you remain responsible for fulfilling any pending orders or obligations to Masqueraders that were made before you stopped using the Platform. Termination of your account will not relieve you of any obligation to pay any fees or charges accrued up to the date of termination, and it will not entitle you to any refund of prepaid fees (except where required by law or explicitly stated by us).

Effect of Termination: Upon any termination of your account, whether by you or by us, your right to access and use the Platform will immediately cease. We may irretrievably delete or deactivate your account and delete all associated User Content and data from our systems, without any liability to you, except we may retain certain information as required to comply with legal obligations, resolve disputes, or enforce our agreements. Any provisions of these Terms which by their nature should survive termination (including but not limited to Intellectual Property, Fees, Disclaimers and Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive and remain in effect after termination.

If your account is terminated (by you or by us), you agree that you will not attempt to create a new account or otherwise access the Platform without our prior written consent. We reserve the right to refuse service to any individual or entity at our sole discretion, subject to applicable law.

8. Disclaimers and Limitation of Liability

Disclaimers (No Warranties): Your use of the MasOS Platform is at your sole risk. The Platform and all services and content provided through it are provided on an "as is" and "as available" basis. Caribbean Inc. makes no warranties or representations of any kind, and to the fullest extent permitted by law, we disclaim all warranties (express, implied, or statutory) regarding the Platform. This includes any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not guarantee that the Platform will meet your requirements or expectations, that it will be available uninterrupted or error-free, or that it will be secure or free of viruses or other harmful components. MasOS does not warrant the accuracy, completeness, or usefulness of any information on the Platform, and you rely on the Platform content at your own discretion and risk.

No Guarantee of Outcomes: Band Organizers are solely responsible for managing their operations and sales, and MasOS does not guarantee any particular outcome or success in your carnival band activities or business by using the Platform. Any advice or best practices provided on the Platform (or by MasOS staff during demos or support) are for informational purposes only and do not come with any warranty.

Products and Transactions Disclaimer: Caribbean Inc. is not a party to the contracts or transactions between Band Organizers and Masqueraders. The Platform serves solely as a venue to facilitate band management and the sale of products/services by Band Organizers to Masqueraders. We have no control over, and assume no responsibility for, the quality, safety, legality, suitability, or delivery of any costumes, products, services, or events offered by Band Organizers. MasOS does not manufacture goods or provide the actual carnival services; it merely provides the software to connect users. All transactions made through MasOS are strictly between the Band Organizer and the Masquerader. We do not guarantee or endorse any products or services offered by Band Organizers, and we will not be liable for any loss or damage arising from those transactions. Masqueraders should direct any product or order-related questions, complaints, or warranty claims to the appropriate Band Organizer, not to MasOS.

Limitation of Liability: To the maximum extent permitted by applicable law (and in particular, Delaware law), Caribbean Inc. (MasOS) and its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever. This includes, without limitation, damages for lost profits or revenues, loss of business or goodwill, loss of data, service interruption, computer damage, or system failure, or the cost of substitute products or services, arising out of or in connection with your access to or use of (or inability to use) the Platform, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if MasOS has been advised of the possibility of such damages.

In addition, if for any reason Caribbean Inc. is found liable to you for any claim or dispute arising from or related to these Terms or your use of the Platform, our aggregate liability to you for all types of damages shall not exceed the greater of: (a) the total amount of fees you paid to MasOS in the twelve (12) months prior to the event giving rise to the liability; or (b) USD $100 (one hundred U.S. dollars). This limitation applies collectively to Caribbean Inc., its subsidiaries, affiliates, and their respective directors, officers, employees, and agents.

Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. To the extent that such laws apply to you, some of the disclaimers or limitations above may not apply to you. In such cases, the scope and duration of our warranties and the extent of our liability will be the minimum permitted under such applicable law. Nothing in these Terms is intended to exclude or limit any condition, warranty, right, or liability which may not be lawfully excluded or limited.

Release: Because we are not involved in transactions between users (Band Organizers and Masqueraders), in the event that you have a dispute with one or more other users, you release Caribbean Inc. (MasOS) and its officers, directors, agents, affiliates, and employees from any and all claims, demands, and damages of every kind and nature arising out of or in any way connected with such disputes.

9. Indemnification

You agree to indemnify and hold harmless Caribbean Inc. and its parent company, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and legal costs) that arise out of or relate to (a) your use or misuse of the Platform, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party. In other words, if your actions (or anything you post or sell on MasOS) result in someone else suing us or claiming damages against us, you will be responsible for all costs and damages we incur. You agree to promptly notify us of any third-party claims, cooperate with us in defending such claims, and allow MasOS to assume control of the defense if we so choose. This indemnification obligation will survive the termination of your account and use of the Platform.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them or the use of the Platform (including any non-contractual disputes or claims) shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles or to your state or country of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

You and MasOS agree that any judicial proceeding to resolve claims or disputes relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the state or federal courts of the State of Delaware. Venue for any such action shall be in New Castle County, Delaware, USA, and you consent to the personal jurisdiction of such courts. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including any claim that Delaware is an inconvenient forum.

Notwithstanding the above, Caribbean Inc. may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you access the Platform from outside the United States, you are responsible for ensuring your use complies with all local laws. Regardless of any statute or law to the contrary, you must file any claim or cause of action against MasOS arising out of or related to your use of the Platform or these Terms within one (1) year after such claim or cause of action arose, or be forever barred (this one-year limitation may not apply in certain jurisdictions which do not allow it, in which case the shortest enforceable limitation period will apply).

11. Modifications to Terms

MasOS may revise or update these Terms at any time at our sole discretion. If we make any material changes, we will notify you by posting the updated Terms on the Platform (for example, on our website) and updating the "Effective Date" at the top of these Terms. In some cases, we may provide additional notice of significant changes, such as via email to registered users or via a prominent notice within the Platform. All changes are effective when posted unless a later effective date is specified in the updated Terms.

We encourage you to review these Terms periodically for any updates. Your continued use of MasOS after updated Terms have been posted (and have become effective) will constitute your acceptance of the revised Terms. If you do not agree to any amended Terms, you must stop using the Platform and, if applicable, terminate your account before the new Terms apply. No modification or amendment to these Terms by you (the user) will be binding on MasOS unless expressly agreed in writing by an authorized representative of Caribbean Inc.
